Software Licence

End-User License Agreement

This agreement covers the use of software applications built and operated by Backcountry Tech Solutions, including applications that connect to accounting platforms such as QuickBooks Online on your authorization.

It is separate from our Terms of Service, which govern use of this website and engagement of our services, and it should be read alongside our Privacy Policy and Security Baseline.

1. Agreement

This End-User License Agreement ("Agreement") is between Backcountry Tech Solutions ("BTS," "we," "us," or "our"), operated by Erick Tronboll of Ranchita, California, and the individual or organization using software we have built ("you," "your," or "Customer"). By installing, connecting, accessing, or using any BTS software application, you agree to be bound by this Agreement. If you do not agree, do not use the software.

2. What This Covers

This Agreement covers software applications built and operated by BTS for its clients, including applications that connect to third-party accounting platforms such as QuickBooks Online. Each application is deployed for a single client on that client's own domain and infrastructure.

  • Web applications built by BTS and hosted on the client's own deployment
  • Administrative and client-facing interfaces within those applications
  • Integrations those applications hold with third-party platforms you have authorized
  • This Agreement does not replace any signed services or engagement agreement between BTS and a client; where the two differ, the signed agreement governs the commercial relationship and this Agreement governs use of the software

3. Licence Grant

Subject to this Agreement, BTS grants you a non-exclusive, non-transferable, revocable licence to access and use the software for your own internal business purposes for as long as your engagement with BTS remains in good standing.

  • You may not resell, sublicense, rent, or redistribute the software
  • You may not reverse-engineer, decompile, or attempt to derive source code except where that restriction is prohibited by law
  • You may not use the software to build a competing product
  • You may not remove or obscure any proprietary notices

4. Connecting Your Accounting Platform

Some BTS applications can connect to an accounting platform you already use, such as QuickBooks Online. That connection is established only when you — or a professional you have authorized to act for you, such as your bookkeeper or accountant — grant it through the platform's own authorization flow.

  • We never ask for, receive, or store your accounting platform username or password. Authorization is granted through the platform (OAuth 2.0), which issues access tokens to us on your behalf
  • We request only the permissions the application needs. For accounting integrations that is accounting data; we do not request payments permissions for applications that do not process payments
  • You may revoke the connection at any time from within your accounting platform, or by asking us to disconnect it. Revoking it stops all further access immediately
  • Access tokens and connection identifiers are stored encrypted and are used only to make requests to that platform on your behalf

5. Your Data

Your data remains yours. Our use of it is limited to operating the software for you, and this section is the commitment Intuit's platform requirements ask us to make explicitly.

  • We use your data only to provide, operate, support, and improve the specific application deployed for you
  • One customer's data is never shared with, shown to, combined with, or used to benefit another customer. Each client application is a separate deployment with a separate database
  • We do not sell, rent, or trade your data, and we do not share it for advertising
  • We do not use your accounting data, or any data retrieved from a connected platform, to train artificial-intelligence models
  • We do not create aggregated cross-customer benchmarks, industry comparisons, or competitive insights from your data
  • Where an application uses AI features, the data sent is limited to what that feature needs, and the provider is disclosed in our Privacy Policy

6. Retention and Deletion

We keep your data only as long as it serves the purpose you gave it to us for.

  • When you disconnect a platform integration, we stop retrieving data from it immediately and delete the stored authorization tokens
  • Data already retrieved and stored for reporting continues to be held for the life of your engagement unless you ask us to remove it
  • On termination of your engagement, you may request export of your data and deletion of our copies; we will confirm when deletion is complete
  • Some records may be retained where the law requires it, and only for as long as it requires
  • Financial records that you or your professional are legally required to keep remain your responsibility to retain — do not treat any BTS application as your only copy

7. Acceptable Use

You agree not to use the software to:

  • Violate any applicable law or regulation
  • Upload or transmit malicious code, or attempt to compromise the security of the application or its infrastructure
  • Access data belonging to anyone other than yourself or your organization
  • Interfere with, disrupt, or place unreasonable load on the service
  • Impersonate another person or misrepresent your affiliation

8. Availability and Support

Applications are hosted on managed cloud infrastructure and are intended to be available continuously. We do not publish an uptime guarantee we do not measure; what we commit to is being reachable and responsive when something is wrong.

  • We notify affected clients of outages, incidents, or planned changes that would interrupt service
  • Planned maintenance is scheduled outside business hours where practical
  • Third-party platforms we connect to have their own availability, rate limits, and outages, which are outside our control; an application may degrade or pause a feature when an upstream platform is unavailable

9. Fees

Fees for BTS services and hosting are governed by your separate engagement or services agreement with BTS, not by this Agreement. Any subscription you hold directly with a third-party platform — including QuickBooks Online — is between you and that platform, or is arranged by your accounting professional under their own program, and is not a BTS charge.

10. Intellectual Property

BTS retains all right, title, and interest in the software, including its source code, design, and documentation, except for material provided by you. You retain all right, title, and interest in your own data and content.

11. Disclaimer of Warranties

The software is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. BTS builds accounting and operations software; it does not provide accounting, tax, legal, or investment advice, and nothing produced by the software constitutes such advice. You remain responsible for the accuracy of your own books and filings.

12. Limitation of Liability

To the maximum extent permitted by law, BTS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data. Our total aggregate liability arising out of or relating to this Agreement shall not exceed the amount you paid BTS in the twelve months preceding the claim.

13. Term and Termination

This Agreement remains in effect while you use the software.

  • You may stop using the software and revoke any platform connections at any time
  • We may suspend or terminate access for breach of this Agreement, non-payment under a separate services agreement, or where required by a third-party platform or by law
  • On termination, your licence ends and the data provisions of Section 6 apply

14. Changes to This Agreement

We may update this Agreement. Material changes will be posted on this page with an updated "Last Updated" date, and we will notify active clients directly. Continued use after a change constitutes acceptance.

15. Governing Law

This Agreement is governed by the laws of the State of California, without regard to its conflict-of-law principles. Any dispute arising under it shall be resolved in the courts of San Diego County, California.
